For a family-size (10 people) Anglo-Saxon Private Equity investment company ideally located in the city centre, we are looking for a **Corporate Governance Assistant **to join a talented team in a dynamic and fast-growing investment firm.
Currently the Luxembourg team consists of three Conducting Officers (one of whom is the Head of Governance), a Compliance Officer, and other administrative, regulatory and accounting staff.
In this exciting opportunity, you will have the possibility to expand your skills in a friendly, professional and flexible environment.
**Your responsibilities**:
You will work closely with the Company Secretary and Head of Governance and assist in all Luxembourg based board meetings and supporting all company secretarial activities in the jurisdiction:
- Providing the Head of Governance, Conducting Officers and Company Secretary with general day to day assistance on company secretarial matters.
- Organising quarterly and ad hoc board meetings for the companies and funds
- Collating quarterly board information packs.
- Interacting with key stakeholders across the group and providing support on company secretarial and governance matters.
- Drafting agendas, minutes for board meetings, circular resolutions, shareholder resolutions and following up on action points.
- Ensuring good order and filing of signed minutes and documents.
- Maintaining and updating the Minute Registers for all the Luxembourg companies.
- Carrying out corporate filings for various legal entity types.
- Other domiciliary or management company administrative assistance as required from time to time
**Your profile**:
- This role could correspond to somebody who just completed an internship or who gained already one year of experience as a corporate administrator, fund administrator, paralegal, or corporate assistant in Luxembourg.
- A strong team player, flexible and highly motivated with fantastic attention to detail.
- Very good communication and time management skills, multitasking,
- An interest in pursuing a career in a company secretary type role with study support available.
- Fluent in English. Any additional language could be an asset
- Experience in a fund administrator would be an advantage, as would be experience in “Diligent” Entities (or similar entity management software).
