Notre client recherche un Transaction Manager basé à Luxembourg pour planifier et coordonner la réalisation de transactions immobilières européennes.
**Beschrijving**
- Coordonner et fournir une contribution luxembourgeoise à l'exécution efficace et en temps voulu des cessions et acquisitions immobilières et autres opérations de société. Par exemple, le financement/le refinancement en relation avec les fonds.
- Gérer le processus de gouvernance autour des transactions en suivant les procédures établies pour les approbations du conseil d'administration du Luxembourg et du SPV, par exemple en convoquant les réunions du conseil d'administration et du comité financier.
- Coordonner la préparation et l'approbation de toute la documentation financière interne relative aux transactions.
- S'assurer que toute la documentation relative aux transactions reçue des conseillers externes est classée de manière appropriée et fournie au dépositaire et aux auditeurs des fonds en temps voulu.
- S'assurer que tous les dossiers des filiales détenus par le gestionnaire (diagrammes de la structure de la société, calendriers de la société, feuilles de calcul de la conformité et fiches d'information sur la société, si nécessaire à des fins de contrôle) sont maintenus et continuellement mis à jour au fur et à mesure de l'évolution des transactions.
- Soutenir la création de filiales au Luxembourg et ailleurs, les réunions notariales associées, les demandes de due diligence, l'ouverture de comptes bancaires, les procurations, les demandes AML/KYC, etc.
- Gérer l'examen, l'exécution, la notarisation et la légalisation des documents requis pour soutenir les transactions, si nécessaire.
- Coordonner les dispositions de réalisation avec les directeurs Lux et locaux, l'équipe de gestion des opérations et les avocats locaux.
- Réalisation d'un mémorandum d'opérations résumant les différents éléments du modèle opérationnel établi pour l'actif et sa structure de détention.
- Clôture des projets de transaction et remise à l'équipe CoSec.
- Comprendre la vision de la société en matière de développement durable et appliquer la stratégie de développement durable en fonction de votre rôle.
- Comprendre les responsabilités en matière de santé et de sécurité correspondant à votre rôle et veiller à ce qu'elles soient assumées conformément aux politiques, procédures et directives pertinentes de la société.
- Travailler en collaboration avec vos collègues et assumer la responsabilité personnelle de maintenir et d'améliorer les contrôles dont vous êtes responsable afin de soutenir l'amélioration de l'environnement de contrôle global, les résultats des clients et la réduction du risque opérationnel.

**Profile**
- 4+ ans d'expérience solide en matière de gouvernance de fonds et d'entités immobilières, dont 2 à 3 ans ont inclus la livraison et la planification de la gestion des transactions.
- Excellent anglais écrit et parlé.
- Bonne communication et compétences interpersonnelles, avec une expérience en gestion de projet, flexible, concentré, proactif, capable de mener des projets et de communiquer efficacement avec la direction.
- Solides compétences organisationnelles et administratives, avec une attitude confiante et dynamique, un grand souci du détail, une capacité à effectuer plusieurs tâches et à hiérarchiser la charge de travail pour respecter les délais, et à travailler sous pression.
- Capacité à travailler dans une petite équipe et à avoir une approche pratique.
- Pour les gestionnaires de personnel, il s'agit de gérer et de motiver les autres afin de garantir la qualité des prestations fournies aux parties prenantes et aux clients.
- Pour les spécialistes techniques, il s'agit de fournir des conseils ou des services d'experts, en utilisant des connaissances spécialisées et une expertise en la matière.
- Faire preuve de jugement pour obtenir des résultats, en évaluant une série de solutions potentielles, en tenant compte de l'impact sur les clients, des coûts et des risques.
- Gère les conflits qui peuvent avoir un impact sur la prestation
- Remet en question les résultats en fonction de sa connaissance de la prestation et de sa conscience des systèmes complexes et de la situation générale.
- Identifie et anticipe les besoins de changement afin d'améliorer continuellement la qualité et l'efficacité des résultats.
- Gère les ressources et les risques en faisant appel à son jugement, son savoir-faire et son expérience.
