Rejoignez notre équipe au Luxembourg en tant que gestionnaire de la gouvernance d'entreprise au sein de la division Real Assets d'Asset Management. Ce poste offre l'opportunité de travailler au sein d'une société de gestion d'actifs internationale très réputée. Au sein d'une équipe de cinq professionnels de la gouvernance, vous collaborerez étroitement avec les équipes juridiques et spécialisées d'Asset Management. Il s'agit d'un poste permanent à temps plein qui offre la possibilité de contribuer au succès de l'équipe Real Assets.
**Description**

Il s'agit d'un poste permanent à temps plein au sein d'une équipe de cinq professionnels de la gouvernance qui sont intégrés et collaborent étroitement avec les équipes juridiques mondiales et les équipes spécialisées dans les actifs réels au sein de la gestion d'actifs.

Dans ce rôle, vous aurez les responsabilités suivantes:

- Gérer la gouvernance quotidienne d'un portefeuille de diverses sociétés holding luxembourgeoises à travers plusieurs fonds d'infrastructure. Il s'agit notamment de veiller au respect des pratiques de bonne gouvernance et à la conformité avec le droit des sociétés luxembourgeois, les politiques internes et les principes.
- Vous travaillerez en collaboration avec les équipes internes (gestionnaires d'actifs, deal, fiscalité, finance, juridique) ainsi qu'avec les parties prenantes externes telles que les co-investisseurs et les prestataires de services aux entreprises afin de protéger les intérêts des sociétés de portefeuille.
- Assurer la gestion des transactions commerciales importantes, y compris les acquisitions d'actifs, les distributions aux investisseurs, les réalisations d'actifs, les refinancements et les restructurations d'entreprises.
- Cela impliquera de se concentrer sur les aspects sociaux luxembourgeois de ces transactions en coordination avec nos conseillers juridiques privilégiés basés au Luxembourg.
- Identifier et mettre en œuvre des améliorations de processus et des mesures d'efficacité.

Vos tâches quotidiennes consisteront principalement à
- L'organisation et la gestion des réunions du conseil d'administration.
- Organiser et gérer toutes les approbations requises des actionnaires, y compris celles liées à l'assemblée générale annuelle, aux transactions ou à d'autres questions.
- Gérer les déclarations de l'entreprise, telles que le RCS et le RBE.
- Gérer les demandes de connaissance du client (KYC) concernant les sociétés de portefeuille.
- Entreprendre diverses tâches administratives et d'entreprise liées à la gestion des holdings luxembourgeoises et des transactions sous votre responsabilité.

**Profile**
- Motivé(e) et autonome
- Diplômé(e) de l'enseignement supérieur
- 6 à 8 ans d'expérience en tant que juriste, professionnel de la gouvernance et/ou secrétaire de société
- Compréhension de l'administration des entreprises et des services financiers/domiciliation
- Maîtrise de l'anglais (la connaissance du français ou de l'allemand est un atout)
- Communication et interaction efficaces avec les parties prenantes à tous les niveaux hiérarchiques
- Compétences avancées en MS Word, Excel, PowerPoint et Adobe Acrobat
- Très bien organisé et plein de ressources
- Capacité à travailler de manière indépendante et au sein d'une équipe
- Excellentes aptitudes à la communication écrite et orale
- Très motivé(e), proactif(ve) et résistant(e)
- Bon sens des affaires
- Solides compétences interpersonnelles pour traiter et négocier avec des contacts internes et externes.
