Anderson Wise is proud to support a well-established Alternative Investment Fund Manager (AIFM) in Luxembourg, dedicated to excellence in fund management.

We are looking for an experienced, bright, and dynamic individual to join the team in the newly created position of** **Legal Corporate Manager.

This role presents a unique opportunity to lead a team dedicated to upholding best practices in corporate governance and company secretarial principles, ensuring scalability for future growth and stakeholder management within the organization (travelling in Europe could be necessary to build relationships with stakeholders).

**Your Responsibilities**
- **Leadership and Team Management**: Lead and manage a team of 4 corporate secretary officers, providing guidance, support, and fostering a collaborative team culture.
- **Corporate Secretary Activities**: Set and uphold the standard for Corporate Secretary activities, including convening Board of Directors meetings, preparing board packs, minuting, and filing.
- **Fund Documentation**: Review and prepare fund documentation with critical analysis, covering basic legal and corporate documents such as intercompany loan agreements, articles of incorporation, etc.
- **Stakeholder Management**: Liaise with internal stakeholders, including the fund finance team, Investor Relations (IR), and investment teams, ensuring effective communication and collaboration. Travelling to some European countries would be necessary to build that relationship.
- **External Advisor Coordination**: Regularly engage with external advisors, including notaries, account banks, law firms, and auditors, to facilitate seamless coordination and compliance.
- **Document Filing and Record Keeping**:Oversee the filing of documents and maintain meticulous records, including shareholder registers, PECS, CPECS registers, etc.
- **Internal Focal Point**: Act as the focal point for all internal stakeholders regarding Corporate Secretary issues, providing expert guidance and solutions.
- **Fund Formation and Fund-Raising**: Engage actively in fund formation and fund-raising processes that require AIFM approval, ensuring compliance with regulatory requirements.
- **Process Optimization and Digitization**: Drive the optimization and digitization of all relevant processes, leveraging technology to enhance efficiency and accuracy.
- **Continuous Improvement**: Maintain a focus on seeking opportunities to improve team efficiencies and the wider governance framework. Contribute to projects supporting improvements in overall governance effectiveness, including tools and systems selection and implementation

**Your profile**
- A degree in Law or in Business Administration.
- 7-8 years of relevant corporate professional experience working for a Luxembourg-based service provider or an asset management company with strong understand of the AIFMD.
- Leadership experience in setting the strategic direction for a Corporate Secretary function.
- Excellent verbal and written skills in English.
- Interest in digitalization and new technologies.
- Strong organizational, communication, and interpersonal skills.
- Proactive and sociable, willing to engage with internal and external stakeholders.
- Independent and accurate work with a team spirit.
- Hands-on mentality.
- Interest in establishing best-in-class processes for team efficiency.
- Willingness to challenge the status quo for process and team development.
- Ability to identify and implement IT tools and systems to enhance efficiency for the Corporate Secretary function.
