As an Associate in the Transfer Agent Team, you will be responsible for processing transactions and due diligence checks on Investor accounts with the goal to achieve overall accuracy and client satisfaction.
To succeed in this role, you need to have some previous experience in the TA function and have Anti-Money Laundering experience within the financial industry, good software systems skills, be a team player, as well as be able to manage a challenging workload.
This role will require a high level of accuracy and attention to detail.You will be provided with support and training where needed and will have the opportunity to work in an exciting and positive working environment.
JOB SUMMARY
Responsible for day-to-day Registrar and Transfer Agent tasks for client's Luxembourg based funds.
Prepares and executes corporate, regulatory compliance and legal documentation.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Processing of the subscription, redemption, transfer, and conversion orders as well as merger events and dividend distributions.
Coordination of capital calls including preparation of notices and calculations.
Coordinating closing and onboarding of new investors.
Chasing investors in case of missing and/or incomplete documents and late payment of subscriptions.
Establishing and maintaining shares/units registers across all funds.
Preparing the various periodic fund reporting.
Coordinating AML/KYC processes.
Filing documents as required and maintaining the client's records following internal processes.
Analysing regulated and non-regulated prospectuses.
Supporting any operational or organisational projects related to Registrar and Transfer Agent tasks.
Reviewing and verifying the accuracy of various fund documentation (e.g. LPA, subscription agreements).
Reviewing and executing various notices, (loan) agreements and amendments.
Drafting and reviewing various confirmation letters for auditors, banks, tax authorities and other third parties.
Establishing and improving legal and corporate governance guidelines and procedures.
Supporting audit processes for client's entities.
Reviewing and verifying the accuracy of various corporate governance matters and processes.
EDUCATION and EXPERIENCE
Master's degree, OR equivalent combination of bachelor's degree and experience.
Experience in the Registrar and Transfer Agent position preferably within a management company or financial and corporate service provider.
Previous experience in dealing with complex investment structures would be an asset.
An experience with alternative investment funds in Luxembourg.
LEGAL and CORPORATE GOVERNANE KNOWLEDGE
Proven knowledge of compliance, AML, KYC and applicable data protection principles and requirements.
