**Summary**:
We are currently working on a very exciting senior role for professionals with legal degrees and more than 3 years of experience in deal execution (SPVs). If you are enthusiastic about working in-house and joining an operational team of highly skilled professionals at **a newly established AIFM** in Luxembourg, this job is definitely for you.

**Key responsibilities**:

- Coordination of operational matters on the acquisition of portfolio companies and add-ons, including: Review & preparation of legal and funding documentation | Review and (if applicable) authorization of all investment-related payments | General oversight of external administrators on investment-related matters | Organization of SPV board meetingsReviewing indications of interest, bid letters, and press releases in connection with investment activity | Facilitating the establishment of appropriate holding structures in accordance with relevant structuring advice, including co-investment acquisitions or add-ons
- Preparation and review of funds flows for all transaction types
- Coordination of restructuring projects in portfolio companies, as well as coordination of leverage at SPV level
- Coordination of exit processes (full or partial) related to portfolio companies including partial sell-downs to co-investors
- Management and coordination of the administration of management incentive plan (MIP) transactions (joiners and leavers) alongside external administrators
- Accurate recording of investments, add-ons, and exits in conjunction with external administrators (including in respect of updates to share registers, etc.)
- Coordination of legal, tax, and other professional advice relating to deal execution
- Review of LPA restrictions in respect of upcoming transactions such as excused investors, reporting obligations, and other side letter requirements
- Responsible for general inbound and outbound deal-related queries
- Supporting with administrative tasks in relation to transactional workstreams, including: Ownership assessments | Transaction-related filings (regulatory/anti-trust) | Insurance coverages | Transaction costs/recharges.
- Supervise and assist in the training and development of more junior staff

**Key requirements**:

- Relevant academic degree level with additional professional qualification (ACCA, ACA, Legal, ICSA, or similar)
- Demonstrable knowledge of the Luxembourg regulatory environment for the investment fund business, ideally gained in Private Equity Funds
- 3-5 years of experience in a relevant industry (private equity or fund administration preferred)
- Strong communication skills
- Fluent in English
