Mid-Level Corporate M&A – Top Tier Firm, Great Reputation

My client is a premium international law firm that well established in Luxembourg, but also known in more than a dozen countries and on multiple continents.

The Corporate M&A team, composed of fewer than 10 lawyers, has a broad client range (in Private Equity, Venture Capital, Real Estate and more) and therefore has access to very interesting transactions. The team cares about working together, but the Partners are also very involved in the technical development of the lawyers. That is why they are always accessible if there are questions, or to truly offer the (junior and senior) associates a 360° view on the files. In addition, the firm is also active in Banking & Finance, Tax and Investment Fund Law.

Although the firm is a real competitor to Magic Circle firms, in terms of technical expertise but also visibility on the market, the Luxembourg office keeps the lead on a vast amount of cases and also does not feel the pressure to evolve too strongly. Their growth is strong but organic, meaning they do not feel the need to become a firm of 200 in Luxembourg by next year for example.

This human size and proximity, within this firm of less than 50 people in Luxembourg, has led to a limited turn-over in addition to the other benefits that are offered here such as an employee status, an attractive salary package, 2 days of homeworking per week and the possibility (for those who wish) to move on to Counsel and Partner roles in time.

Your Responsibilities | Corporate M&A – Law – Lawyer – Avocat - Legal

• You will manage a range of Luxembourg corporate law matters and transactions, including incorporations, restructurings, migrations, mergers, acquisitions and liquidations.
• You draft, review and negotiate shareholder agreements, SPA/APA, resolutions, articles of association and intragroup contracts.
• You advise clients on governance, legal obligations and day-to-day corporate matters.
• You liaise with notaries, banks, regulators, counterparties and service providers.
  You work directly with partners and senior lawyers, progressively managing files with increasing autonomy.

Profile and Career Path | Corporate M&A – Law – Lawyer – Avocat - Legal

• You have 3 to 6 years of experience in the Corporate/M&A department of a law firm in Luxembourg. You are member of the Luxembourg (or another EU) Bar.
• You communicate fluently in English and French as you will deal with a very international client base.
• Experience acquired in an international law firm, Magic Circle or not, will be considered as a strong asset.
• You have a strong command of Luxembourg company law and have been exposed to a variety of transactions.
  You enjoy working in a team that values advancing together, while still being able to work autonomously and pursuing your learning curve in close collaboration with the Partner.
