Overview of the Role:

Position Overview

The Company Secretary plays a critical role in ensuring corporate governance compliance, maintaining statutory records, and supporting the Board of Directors and senior management in meeting their legal and regulatory obligations under Luxembourg law.

The Company Secretary is an integral member of an established team which will require efficient collaboration with multitude of stakeholders.

Key responsibilities: 

  • Corporate Governance & Compliance

The Company Secretary ensures the company complies with all applicable Luxembourg corporate legislation, including the Law of 10 August 1915 on commercial companies (as amended). This includes maintaining up-to-date knowledge of regulatory changes and advising the Board on governance best practices. The role involves coordinating with the Commission de Surveillance du Secteur Financier (CSSF) or other relevant authorities as applicable to the company's activities.

  • Board and Shareholder Meeting Support

The Company Secretary organizes, prepares agendas for, and attends Board of Directors meetings and Annual General Meetings (AGMs). This includes drafting meeting notices in accordance with the company's articles of association, preparing minutes, ensuring proper documentation of resolutions, and maintaining the official minute books. The role requires coordination with directors regarding attendance, materials distribution, and follow-up on action items.

  • Statutory Records and Filings

The position involves maintaining all statutory registers including the register of shareholders, register of directors, register of beneficial owners (as required under Luxembourg AML legislation), and other corporate books. The Company Secretary ensures timely filing of all records with the Luxembourg Business Register (LBR), publication of required notices in the official gazette (Recueil Électronique des Sociétés et Associations - RESA), and submission of all legal and regulatory returns.

  • Corporate Structuring and Documentation

The Company Secretary manages corporate documentation including articles of association, shareholder agreements, powers of attorney, and corporate authorizations. The role involves supporting corporate restructuring activities, capital increases or reductions, mergers, and other extraordinary transactions requiring documentation and filing.

  • Liaison and Communication

The role serves as the primary point of contact between the Board, management, shareholders, and external advisors including legal counsel, auditors, and corporate service providers. The Company Secretary facilitates communication and ensures all parties have access to necessary information and documentation

Qualifications & Experience Required

  • A university degree in law, business administration, finance, or a related field is required. Strong knowledge of Luxembourg corporate law and governance frameworks is essential.
  • Minimum three to five years of experience in a company secretarial, corporate governance, or legal compliance role, within Luxembourg or with Luxembourg entities. Experience working with investment funds, holding companies, or financial services entities regulated by the CSSF is advantageous.
  • Fluency in English is required. Proficiency in French is essential given Luxembourg's legal and business environment. Knowledge of German or Luxembourgish is considered an asset. The ability to draft formal legal and governance documents in multiple languages is highly valued.
  • Strong understanding of Luxembourg corporate law, commercial law, and regulatory requirements. Familiarity with corporate governance principles and international best practices. Proficiency with corporate administration software and document management systems. Excellent organizational and project management capabilities.
