LEGAL COUNSEL - FUND LEGAL (H/F) (NUMÉRO DE L'EMPLOI : BNPPAM LEGAL)

BNP Paribas Asset Management (BNPP AM) is part of BNP Paribas Group and is responsible for the process of managing and monitoring assets, on behalf of individual and corporate clients. BNPP AM offers funds and mandates towards his clients. These funds & mandates are managed by Portfolio Managers, who are based in the different locations across the globe.

**Legal Counsel - Fund Legal - CDI**

The Legal Counsel - Asset Management is an expert on a given legal expertise / product / activity. She / He provides legal advice and ensures legal interpretations for his/her internal clients (Businesses, other Legal counsels ) in order to best support the Group’ strategy.

**In a fund, a group of people (shareholders/participants) pool their savings to invest in financial assets, typically securities or shares. Funds are treated like companies and, like all companies, must be created, maintained during the fund’s life and liquidated or merged if needed.**:
The mission of Fund Legal is to provide agile and responsive fund legal support to BNP Paribas Asset Management in a manner that adheres to the highest standards of excellence and integrity.

As **Fund Legal Counsel** you are a Business partner, providing legal support and expertise and advising the Business in order to provide BNPP AM & third parties with competitive and legally optimal products in compliance with local regulations.

**KEY RESPONSIBILITIES**:
**Relations with local Regulatory Authorities**:

- To initiate and to ensure a close & reliable relationship with the local Regulatory Authorities
- To ensure timely submission of all documents for approval, to explain/defend the BNPP AM point of view regarding the interpretation of regulations
- To act as an expert in this matters in order to position BNPP AM as a reference partner and to direct the local Regulatory Authorities' positions towards BNPP AM’s advantage.

**Legal support**:

- To answer requests and questions about legislation and reglementation of products
- To follow-up and to anticipate the potential evolution of regulation and to estimate the consequences for products
- To translate and to communicate legal information to BNPP AM and third parties concerned
- To contact specialised lawyer’s offices or auditors and to submit to them questions in order to provide timely and optimal advice and information.

**Product creation**:

- To analyse specifications of new products, to ensure their compliance with regulation, to give advices, to write product Articles of Association and prospectus, to submit requested documents to local Regulatory Authorities for approval, to perform all legal and administrative tasks in order to set up new products that take into account all legal constraints.

**Product governance**:

- **To e**nsure legal and regulatory integrity of the Funds (stringent requirements of the CSSF and AED e.g. corporate governance, CSSF regulations and circulars...)
- Corporate housekeeping (organization of board and general assembly meetings, drafting of minutes and resolutions, certification of documents, maintaining the list of authorised signatories and other corporate documents, trade registry filings)
- Communication towards regulators (regular briefings, meetings...)
- **To review periodic reports**:

- Advisory role for the Directors.

**Product maintenance**:

- To take charge of all consequences of decisions taken by the Board of Directors, the General Meeting of shareholders, on the legal and administrative levels (products mergers, liquidations)
- To update all legal documents
- To take charge of the administration of products in order to guarantee that all documents constantly reflect a coherent and legal image of the products.

**Regulatory watch**:

- **To perform appropriate** regulatory watch, according to the process and organization defined by the team.

**Activity integration**:

- To contact the other local BNPP AM Fund Legal department
- To explain advantages and disadvantages of local regulations
- To co-define the optimal choice for each type of fund

Key Internal / External Relationships
- INTERNAL : LEGAL COLLEAGUES, TEAM MEMBERS, BUSINESS
- External : clients, Regulatory Authorities, Auditors, Market place Association.

ROLE REQUIREMENTS

**ESSENTIAL QUALIFICATIONS & EXPERIENCE**:

- Master in Law, specialisation is a plus
- Knowledge of Asset Management fund legal issues is a plus

Essential skills/competencies (TEchnical / behavioural / leadership)
- Very fluent (spoken and written) in English and French
- Very good knowledge of Microsoft Office tools (Outlook, Word, Excel, Powerpoint)
