Compliance & Governance Officer

**Responsibilities**

**COMPLIANCE**
- Economic Sanctions _
- Establish the due-diligence procedure at AGS using the best practices of AM Group
- Support the business with due diligence for new clients / as per the compliance procedure
- Review the procedure periodically and update on need basis
- Periodic review of latest development/ trade sanctions changes worldwide and corresponding with business
- Anti-Corruption _
- Anti-corruption due diligence procedure for AGS Holding & network business
- Fraud-Ethic _
- Yearly conflict of interest trainings
- Follow up of conflict of interest declaration
- Closer cooperation with HR to ensure that the Code of business conduct must be signed and world check performed.
- Approval of new clients/vendors from compliance point of view (word check, DB review etc.)
- Maintain gift register
- Follow up of compliance trainings
- CEO Certification

**GOVERNANCE**
- Contract Management Cell _
- Provide support to Legal Department in the review and drafting of global contracts (sales, procurement and CAPEX), mostly spare parts and equipment purchases & leases
- Acts as a guarantor of the proper deployment of contract management
- Follow-up of deployment of back-to-back contracts
- Manage contract warehouse: recording & inventory, follow-up of services contracts
- Track the renewal and cutoff time lines. Advise on contract risks
- Guarantor of keeping the deadlines of the reviews and ensure coordination with compliance checks on contracting parties, etc.
- Drafting and checking interco contracts (service and financing) in guidance of Europe Legal & Group Tax to meet TP guidelines
- Tax & Legal _
- Provide support to Legal Department in the standardization of legal frameworks and processes.
- Risk assessment and general counseling in terms of risk mitigation in guidance of Europe Legal
- Governance & enforcement of compliance with statutory obligations
- Support provided to Legal Europe on labor related legal cases and commercial disputes
- Liaison with in-house AM legal departments
- Drafting and checking legal Memos and executive summaries
- Liaison with Tax Corporate on PE and TP issues
- Support to Tax Corporate on Tax audits among other tax issues
- Replies to Lux customs authorities: export licenses, queries
- Minuting of monthly legal meeting
- Report the update of legal & governance matters to AGS Management & Group e.g.: CLD, etc
- Governance _
- Ensure the BoD composition of Holding and network entities are up to date
- Custodian and updation of signature matrix, authorizations & PoA
- Ensure timely Statutory filings
- Follow up on audit plan (internal and external)
- Closure of audit reports ie follow up plan on recommendation and implementation measures
- Support with enforcement of policies on approvals
- Banking signatories update
- Check of Holding’s and regional entities FS’s and Tax returns.
- Coordination with CEO / CFO on documents legalizations
- SOP’s _
- Drafting and Revising SOP’s for business processes
- Enforcing SOP’s across Network units
- Training of FTE’s
- CEO certification
- Site Audits _
- Conduct the periodic internal audit of the group entities
- Lead the onsite management discussion
- Submission of the report with recommendations
- Work with the entities for time bound closure of recommendations

Profile
- **Bachelor’s degree **, Preferably in **Law**:

- Ability to prioritize and multi-task within tight time constraints
- Ability to work well under pressure while maintaining a professional demeanor
- Superior attention to detail
- Excellent writing and communication skills and
- Excellent word processing skills using the MS Office
- **3 to 5 years **of experience
- **Experience in commercial international contracts & legal negotiation (drafting and review) **acquired in international law firm or international company.
- Theoretical and practical knowledge of international, commercial and law.
- Having exposure to compliance aspects is a definitive plus
- A work experience in a law firm or a bank will be a plus
- Fluency in English
- French/Spanish/German is a plus
