**Job Description**:
**We are opening a position for a Senior Corporate Counsel to support the Group’s overall corporate legal strategy. The Senior Corporate Counsel will provide efficient corporate law advice to management, colleagues, and the various teams of the company’s operations.**
**This role represents a great opportunity for legal counsel seeking a challenging role that combines technical legal knowledge with practical experience, in a fast-paced European environment. We are looking for an experienced counsel who can work independently as well as collaborate within a collegial environment.**
**This role is based in Luxembourg.**
**ABOUT THE JOB**
**Your mission**:
**General Corporate Governance**:
- Manage the day-to-day corporate governance and reporting requirements of various Group entities (Europe & UK) ;
- Prepare materials and draft legal documentation for the entities board and committee meetings, as well as the annual shareholders meeting ;
- Analyse operations to be processed and, if necessary, seek the most appropriate legal solution ;
- Ensure that the governance of the subsidiaries complies with the Group requirements and propose improvements, where needed ;
- Follow all legal formalities in various jurisdictions, including incorporation of new entities;
- Identify and implement the appropriate tools to be used to improve management of our corporate obligations;
- Carry out legal research and participate in legal and regulatory monitoring (mainly in general company law and governance issues related to the financial field);
- Advise the management and HR team with all matters related to our offices across the different countries (Europe, UK).
**M&A**:
- Provide advice for legal matters related to mergers and acquisitions in Luxembourg, France and other jurisdictions ; ensure coordination with external lawyers where necessary.
- Organise the post-closing part of M&A operations.
**Contract management**:
- Review and conduct contract negotiations related to facilities and real estate matters for the Group entities ;
- Assess relevant intra-group arrangements and draft the corresponding contracts.
**Your work environment**:
You will be reporting directly to our VP Legal. **Qualifications**:
**Expertise and experience**
- Minimum of 8 years experience working as a corporate lawyer or in-house counsel
- Ability to adopt a pragmatic approach and act as a true business partner
- Fluent in French and English is needed

- Excellent at analysing: You love diving into the regulation and performing complex analysis to identify strategy-oriented and growth levers.
- Team-player: You can drive projects and earn the confidence of partners across the business.
