Global Corporate Governance Specialist

The Greenfield S.à r.l. company is seeking a highly skilled Corporate Manager to support the operation of governance instances and uphold corporate governance at the highest standards.
Key Responsibilities:- Company Records and Statutory Registers: Oversees the establishment and upkeep of Company Records and Statutory Registers for Company & Group entities, ensuring accuracy and compliance with regulatory requirements.
- Statutory Returns and Filings: Tracks statutory returns and facilitates online submission of information to the Registrar of Companies, reporting specific changes and periodic filing requirements for the Company.
- Board Meetings and Materials: Coordinates Board meetings, generates Board materials, creates reports on corporate governance issues, conducts quality reviews of meeting supporting documents, drafts meeting minutes, and ensures timely distribution of relevant documentation.
- Document Management: Manages and oversees documents related to the Company's life cycle, such as AGM, power of attorney, authorized signatures, filing documents with RCS, and drafting circular resolutions.
- Policies and Procedures: Supports the Company Secretary in developing policies and procedures essential for the effective functioning of the Board.
- Investment Transactions: Supports the investment management team in handling matters related to the approval of cross-border investment/divestment transactions, coordinates Board meetings, and oversees the execution of relevant documentation.
- Stakeholder Communication: Facilitates responses to diverse inquiries from both internal and external stakeholders, including external auditors, concerning corporate governance matters.
- Education: Master's Degree in Legal or Business Administration, or an equivalent qualification.
- Experience: 5 to 10 years of experience in a similar role as a Corporate Manager within the Fund Industry.
- Culture and Language: Proficient in navigating complex and dynamic environments, with the ability to thrive in a multicultural and international setting. Fluency in English (both written and oral); proficiency in French, Spanish, German, or Dutch is an advantage.
- Skills and Qualifications: Demonstrates the capability to cultivate and sustain positive employee relations. Possesses strong project management and organizational skills. Up-to-date knowledge of recent governance legislation.
We offer a competitive salary in the range of €60,000 - €80,000 per year, commensurate with experience and qualifications. This is a unique opportunity to join a dynamic and growing organization in Luxembourg.
