- 33297Our client is** **seeking an adept professional for the role of Transactions Due Diligence Officer to help with the growth of their Capital Markets business.

You will have an excellent opportunity to develop professionally, reporting directly to an Authorised Manager overseeing underwriting and placement activities within the Capital Markets business.

**Your Responsibilities**

Underwriting:

- Assistance in processing transactions from submission to closing, including management of the after-sales process and post-transaction reporting.
- Analysis of the transaction from a market, contractual and finance perspective.
- Transaction Due Diligence process.
- Conduct research when necessary.
- Processing transactions and ensuring compliance with company and regulatory standards, ensuring adequate controls on transactions to mitigate all risks, including compliance/KYC/AML/MIFID/capital/liquidity risks.
- Design and implement the first line of defence operational controls with the Authorised Manager in charge of underwriting.
- Coordination with the legal, compliance and risk functions and ensuring that the advice and opinions provided by these functions are heard and taken into consideration and implemented regarding the Underwriting committee perspective.
- Preparation of materials for internal Committees working with the authorised management to assess underwriting opportunities.
- Assistance in the workflows and handling calls and other communication with clients, law offices and investors.
- Regular reporting to the companies Authorised managers, Key Functions and Directors.
- Corporate administration and tax:

- Support in the corporate communication and filing framework implemented for the regulated investment firm and its UK branch.
- Coordination with internal/external tax specialists.
- Preparation/review of regulatory company documents and fillings.
- Review / Follow-up of the company’s accounting, budget, and cash flows.
- Assistance in the organisation of boards and shareholders’ meetings, including preparation of Board packs, standard legal documents, and minutes.
- Follow-up on the contracts signed with service providers. Support in the internal governance implemented for outsourcing arrangements.

Corporate administration and tax:

- Support in the corporate communication and filing framework implemented for the regulated investment firm and its UK branch (with the regulators and authorities such as CSSF, FCA, ACD, RCS, RBE etc);
- Coordination with internal/external tax specialists (on all applicable tax topics such as direct income tax, net wealth tax, VAT, CRS, FATCA etc);
- Preparation / review of regulatory company documents and fillings (including assistance in the preparation of financial reporting such as annual reports for the Company and its UK branch);
- Review / Follow-up of company’s accounting, budget and cash flows;
- Assistance in the organisation of board’s and shareholders’ meetings, including preparation of Board’s packs, standard legal documents and minutes;
- Follow-up of the contracts signed with service providers; and Support in the internal governance implemented for outsourcing arrangements (due diligences, underwriting committees, review of KPI/KRI, etc).

General:

- Assistance in the implementation/review of new/existing policies, procedures, manuals, checklists, controls framework and RACI where relevant.
- Ensure close collaboration with the group reporting line.
- Performing any other tasks assigned by the Board of Directors.

**Your Profile**
- Minimum 5 years of previous experience
- Proficiency in debt/equity/underwriting activities.
- Strong grasp of regulatory requirements and internal governance for investment firms.
- Familiarity with corporate governance and company secretarial responsibilities.
- Exhibit excellent market judgment.
- Fluent in English.
- Strong organizational and communication abilities.
- Strong technical skills, sharp intellect, and ability to understand difficult, complex compliance and business problems.
- Ability to prioritise, add perspective and focus on critical tasks that add business value.
- Excellent organisational and coordination skills.
- Highly effective oral and written communication.
- Natural ability to develop relationships, internally and externally.
- Ability to work with mínimal supervision but with the flexibility to be a team player as required.
