**Reporting relationship & location**

This role reports to the Group Lead Supply Chain Counsel who reports to the General Counsel of BMI and who is strategically positioned as a leadership team member of the Group Supply Chain team headed by the Chief Supply Chain Officer. This position will require occasional travel to visit the group headquarters in the UK and on an occasional basis to other BMI locations in Europe.

**Main tasks and responsibilities**:
As a member of Group Legal the role will have primary responsibility for legal partnering on Supply chain matters in a broad sense and procurement in particular.

Working closely with the Group Lead Supply Chain Counsel and legal peers in the team, you will, on a day to day basis, be providing advice on a broad range of complex and international legal issues in a proactive and professional manner in furtherance of business objectives:

- Identifying and escalating legal issues, evaluating risks, proposing practical solutions to the business and acting with the appropriate urgency in a fast environment of change
- Acting as a business partner to the local operations; implementing harmonized standards for the handling of legal affairs

**Key Responsibilities**

Commercial (80%)
- Reviewing, negotiating and drafting all types of international commercial contracts including but not limited to procurement and supply chain/ logistics, raw materials, technical materials, CAPEX, IT, utilities and services contracts
- Providing advice on the interpretation of contracts, laws and regulations and ensuring compliance, including data processing agreements in the context of (IT) outsourcing and services agreements
- Updating and managing template contracts and terms and conditions, including providing best practice templates and guidance to local/regional legal colleagues and the decentralized supply chain and sourcing teams
- In collaboration with the Group Lead Supply Chain Counsel reviewing and advising on business (improvement of) processes to ensure timely a) involvement of the legal department and b) preparation on potential new regulatory developments ( incl. on ESG)
- Providing training on the above to key Supply Chain clients

Compliance and Corporate Governance (20%)
- Providing legal advice and counsel to senior leadership on corporate and corporate governance matters and related regulatory governance matters
- Analyzing and interpreting legal issues and complex documents and working with company committees
- Providing legal advice on compliance policies, advising and working with other stakeholders (including Compliance, Risk, COO’s office) as appropriate
- Providing support to the central legal team regarding financial contracts such as LMA loan documentation, bilateral loans, intercompany loans, bonds, ISDA agreements, cash management, in-house bank and payment factory contracts, supplier finance or guarantees.
- Evolving trends and best practices for corporate governance, including review and updating of charter and bylaws
- Checking legislation and new laws to recognize risks and opportunities as early as possible.

**Person Specification / Skills and Experience Required**
- Qualified Lawyer from any EU country with around 3-5 years of work experience, gathered in an international environment in private practice and/or as In-House Counsel: experience in complex procurement and / or supply chain transactions, in particular in the areas of engineering services, construction, utilities or transportation would be a plus
- Good commercial mind and ability to handle multiple demanding clients in a fast-paced, growing environment which requires a quick and thoughtful legal touch across several legal disciplines
- The ability to contribute to the formation of a new legal framework for the operating entities across the Group
- Excellent legal drafting skills
- Strong negotiation and counselling skills
- The ability to develop and sustain relationships with other functional personnel at all levels: Excellent communicator with sound interpersonal skills and ability to collaborate effectively with cultural sensitivity in an international environment
- Fluent business English required, German and/or French skills would be a big plus
