Position: Senior Corporate Counsel

The Senior Corporate Counsel is in charge of providing legal advice, managing the establishment and upkeep of corporate entities and investment funds, and offering administrative assistance. The main goal is to make sure the company delivers valuable legal support to its clients and partners.

Key Responsibilities:

  • Handle legal matters from a client-investor standpoint for alternative funds (Private Equity).
  • Offer advice on corporate structuring and various project-related issues.
  • Establish, maintain, and dissolve companies and funds in different jurisdictions.
  • Draft and review legal documents including memoranda, articles of association, statutes, private placement memoranda, and various contracts.
  • Assess contracts and paperwork related to private equity and real estate acquisitions.
  • Examine documentation concerning investments by different entities.
  • Prepare and amend various contracts like leases, pledges, loans, CFAs, fiduciary agreements, SPAs, and Share Transfer Agreements.
  • Interact with regulatory bodies and external parties to ensure compliance with legal and regulatory standards across entities.

Requirements:

  • Minimum of 5 years experience as a legal counsel focusing on investment funds, preferably within a family office in Luxembourg.
  • LLM degree (Master of Laws).
  • Proficient in both French and English.
  • Solid understanding of corporate structuring techniques and practices.
  • Familiarity with regulatory requirements in the investment funds sector.
  • Experience in drafting and negotiating various legal documents from a client-investor perspective.
  • Ability to offer strategic legal advice on complex issues related to investment funds and corporate structuring.
  • Proven track record of effectively managing legal aspects of investment fund transactions and projects.
  • Knowledge of Luxembourgish legal and regulatory framework.
  • Strong analytical and problemsolving abilities.
  • Capable of performing well in a fast-paced and dynamic environment.
